Auction Terms

These Auction Terms and Conditions (“Auction Terms”) govern the use of the bidding services (“Bidding Services”) provided through www.Guns.com and its subdomains (the “Guns.com Site”) by Guns Dot Com, LLC (“Guns.com,” “we,” “us,” or “our”) for consumers (“Bidders,” “you,” or “your”) who wish to participate in online auctions for Products listed by Dealers on the Guns.com Site. By registering an account and placing a Bid on any product, you agree to comply with and be bound by the terms of these Auction Terms.
By your use of the Bidding Services and participating in an Auction, you acknowledge that you have read and agree to be bound by these Auction Terms, the Terms of Use and Privacy Policy. In addition, you agree that if you are the Winning Bidder of an Auction, your winning Bid constitutes an offer to purchase the Product which, if accepted, creates a binding agreement governed by the Terms of Sale (with you as the Buyer) to the extent the Terms of Sale are not inconsistent with these Auction Terms.

Definitions

“Product” means the item listed by a Dealer for Auction on the Guns.com Site that a Bidder may bid on.

“Auction” refers to the process where Products are listed and sold through an auction-style listing on the Guns.com Site.

“Bid” means an offer to purchase a Product placed by a registered bidder during an active Auction.

“Maximum Bid” means the maximum amount that a bidder is willing to pay for an item (excluding shipping, taxes, and other applicable charges) and to allow the system to incrementally bid on the bidders behalf up to the maximum amount entered.

“Winning Bidder” refers to the highest bidder at the conclusion of an Auction for a Product.

Registration and Account Requirements

Account Creation: In order to Bid on any Products listed for Auction, you must first:
-
create an account on the Guns.com Site;
-
have an approved payment method on file;
-
designate your preferred FFL Dealer.
Account Information: You agree to provide accurate and up-to-date information during the registration process. You are required to maintain your account in good standing, including keeping your personal, billing, and shipping information current. If your preferred FFL Dealer is not a part of our Dealer network, you are responsible for providing evidence to our satisfaction that your preferred FFL Dealer holds a valid and current federal firearm license.

Payment Information: You agree to provide valid payment information (such as a credit card or other accepted payment method) to be stored securely by Guns.com for any purchases you make. Payment information must remain valid and updated to ensure smooth transactions.

Termination by Bidder: You may cancel your account or cease bidding at any time, but this will not affect any obligations arising from Auctions you have already participated in.

Suspension or Termination by Guns.com: Guns.com reserves the right to suspend or terminate your account if you violate these Auction Terms, engage in fraudulent or dishonest behavior, or fail to meet payment obligations.

Bidding and Auction Rules

Certification of Bidder: By placing a Bid, you certify that you:
-
are at least 21 years of age;
-
are not prohibited by law (including all applicable federal and state firearm laws and regulations) from buying, owning, possessing, or using the Product;

are purchasing the Product on your own behalf and not for any third person; and
-
do not intend to transfer the Product in violation of Law.

Bidding Process:
-
Once registered, you may place Bids on Products listed by Dealers in accordance with the Auction rules. Special rules may apply to an Auction and will be described in the Auction listing.

By placing a Bid, you agree that your offer is binding. If you are the highest bidder and the Auction ends successfully, you will be obligated to purchase the Product at the winning Bid price. You agree not to initiate any credit card charge backs for any amounts charged to your payment method which are permitted by these Auction Terms.

If you place a Maximum Bid, Bids will automatically be made on your behalf in minimum increments applicable to the Auction increments over the existing high Bid, up to the amount of your Maximum Bid.

No Retracting Bids: Once a Bid is placed, it cannot be retracted. Ensure that you wish to participate in the Auction and agree to the terms before placing a Bid.

Buy it Now Feature. Certain Auctions may include a “Buy it Now” feature which permits a potential bidder to purchase the Product immediately at a set price without waiting for the Auction to end or competing with other bidders. Completing the checkout process using the “Buy it Now” feature constitutes an offer to purchase the Product at the specified set price and, in such case, the transaction will be governed by the terms of the Terms of Sale.

Auction Closure: Each Auction will close at the earlier of the time specified in the Auction listing (subject to a 15 minute extension in the event a bid is placed within the final 15 minutes) or upon the Product being purchased using the “Buy it Now” feature, if applicable. At the close of an Auction, if you have placed the highest Bid at that time, you will be deemed the Winning Bidder and will be required to complete the purchase, unless the Auction closed as a result of another party purchasing the Product using the “Buy it Now” feature, if applicable. You will receive an email notifying you that you are the Winning Bidder, and you will have the opportunity to update your payment method and information, if desired, for a period of 24 hours after the close of the Auction. If you do not update your payment method, your payment information on file will be charged. If your payment is declined, you will be notified by email and must update your payment method within 24 hours or your order will be cancelled for failure to pay.

Canceled Auctions. Due to technical problems encountered from time to time, situations may arise that warrant Guns.com canceling an Auction. An e-mail notification will be sent to those bidders who participated in these Auctions when they are canceled. Products listed in an Auction that is canceled may be reoffered at a later date.

Terminated Auctions. It may be necessary to withdraw items from bidding due to technical errors or uncontrollable circumstances. Auctions may be terminated because the property is no longer available due to Federal or state agency needs; property becomes damaged; property is stolen, or property was improperly described. Items may be reoffered at a later date. An e-mail notification will be sent to those bidders who participated in these Auctions when they are terminated.

No Guarantee of Functionality. Guns.com is providing the Bidding Services as a service to Bidders. You acknowledge and understand that this service may or may not function correctly the day of the Auction close. Under no circumstances will you have any kind of claim against Guns.com or anyone else if the Bidding Services fail to work correctly before or during the Auction. Guns.com will not be responsible for any missed Bids from any source.

Payment Terms

Winning Bidder Payment Obligation: If you are the Winning Bidder, you agree to pay the full amount of your winning Bid, plus any applicable taxes, shipping fees, or other charges, in accordance with Guns.com’s payment terms.

Payment Method: Guns.com will automatically charge your registered payment method for the amount due 24 hours after the Auction concludes. By placing a Bid (or a Maximum Bid), you authorize Guns.com to charge your designated payment method for the Bid amount (up to your Maximum Bid), plus all applicable taxes, fees and charges, if you are the Winning Bidder.

Failure to Pay and Applicable Fees:

If for any reason you fail to complete the purchase and pick up the Product from your designated FFL Dealer after winning the Auction, you will be charged non-refundable fees in accordance with our restocking policy in place at the time. These fees are intended to cover administrative costs and any potential loss or damages resulting from the failed transaction. By placing a Bid, you authorize us to charge your designated payment method in accordance with our restocking policy in the event you fail to complete the purchase for any reason.

If the Winning Bidder fails to pay within the required timeframe, Guns.com reserves the right to cancel the transaction, relist the Product, and report the default to the Dealer.

Failure to Pay Consequences: If you fail to fulfill payment obligations, Guns.com reserves the right to suspend or permanently ban your account from participating in future Auctions.

Condition of Products; Refunds. You are responsible for reading the complete Product description prior to placing a Bid. Guns.com attempts to ensure Product descriptions are accurate. However, except in the case of Products owned by Guns.com and listed for Auction, it is the Dealer’s responsibility to provide accurate descriptions, specifications, images, and availability status for all Products listed for Auction on the Guns.com Site. Guns.com does not warrant that any Product description or other content is accurate, complete, reliable, current or error free. Guns.com reminds you to verify all Products before taking physical delivery from the FFL Dealer. If you choose not to take delivery of the Product because of an error in the description on the Guns.com Site, Guns.com will use commercially reasonable efforts to remedy any mistakes.

Shipping and Delivery. You are responsible for providing accurate and complete shipping information for the designated FFL Dealer. You will be permitted to designate a new preferred FFL Dealer within 24 hours of the Auction closing. Guns.com will arrange to ship the Product to your designated FFL Dealer in accordance with the “Shipments; Delivery” section of the Terms of Sale.

Prohibited Activities

Fraudulent Bidding: You are prohibited from engaging in any form of fraudulent bidding activity, such as placing false Bids or manipulating the bidding process in any way.

Unauthorized Account Use: You must not allow any third party to use your account to place Bids, and you are responsible for all activities conducted through your account.

Misrepresentation: You are prohibited from misrepresenting your identity or providing false information during the bidding process.

Indemnification. You agree to indemnify, defend, and hold harmless Guns.com, its affiliates, and agents from any claims, damages, losses, or expenses arising from your violation of these Auction Terms, participation in the Auction process, or use of the Bidding Services.

Limitation of Liability. To the maximum extent permitted by law, Guns.com’s liability to you will be limited to the amount you paid for the Product in the transaction that gave rise to the claim. Guns.com will not be liable for any indirect, incidental, or consequential damages arising from your use of the Bidding Services.

Dispute Resolution

Governing Law: These Auction Terms is governed by and construed in accordance with the laws of State of Minnesota, without regard to any conflicts of law principles which may result in the application of the laws of another jurisdiction. Any suit, action or proceeding arising in connection with these Terms of Sale and that is permitted to be brought outside of arbitration (if any) will be brought in the state or federal courts sitting in the State of Minnesota and the parties hereby expressly submit to the jurisdiction of such courts for the purpose of any such suit, action, or proceeding. Each party hereby irrevocably waives any objections which it may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to these Terms of Sale if brought in Minnesota, and hereby further irrevocably waives any claim that any such suit, action or proceeding brought in any such court has been brought in an inconvenient forum.

Arbitration: Any dispute or claim arising under these Auction Terms shall be resolved by binding arbitration in accordance with the Arbitration provision of our Terms of Sale.

Miscellaneous

Entire Agreement: These Auction Terms, the Terms of Use, Terms of Sale and Privacy Policy constitutes the entire agreement between you and Guns.com regarding your participation in Auctions and use of the Bidding Services and supersedes all prior communications or agreements.

Amendments: Guns.com reserves the right to modify or amend these Auction Terms at any time. Any changes will be communicated to you, and continued use of the Bidding Services constitutes your acceptance of the new terms.

Severability: If any provision of these Auction Terms are found to be invalid or unenforceable, the remainder of the Auction Terms will remain in full force and effect.
